2.1. License We grant you a non-exclusive, non-transferable license to use our ERP software ("bnserp.com") in accordance with the terms of the license agreement provided with the Software. The license is limited to the number of users or installations specified in your purchase agreement.

Restrictions You shall not: - Copy, modify, or distribute the Software except as expressly authorized. - Reverse engineer, decompile, or disassemble the Software. - Rent, lease, or sublicense the Software to any third party. - Use the Software in any manner that violates applicable laws or regulations.

3. Subscription and Payment

3.1. Fees You agree to pay all fees associated with the Software and Services as specified in your order form or subscription options. Fees may include one-time charges, recurring subscription fees, and additional charges for upgrades or support.

3.2. Payment Terms Payments are due within 5 days of invoice receipt or after package expiration date, unless otherwise specified. Late payments may incur interest charges as specified in your agreement.

4. Support and Maintenance

4.1. Support We offer support services as described in your support agreement. Support includes assistance with Software installation, configuration, and troubleshooting.

4.2. Maintenance We may periodically update the Software to improve performance, fix bugs, or comply with legal requirements. You will receive these updates according to your support agreement.

5. Intellectual Property

5.1. Ownership All intellectual property rights in the Software and any related documentation are owned by bnserp or its licensors. You do not acquire any ownership rights through your use of the Software.

5.2. Feedback Any feedback or suggestions you provide regarding the Software are owned by bnserp.com and we may use them without compensation to you.

6. Confidentiality 6.1. Confidential Information You agree to keep all non-public, proprietary, or confidential information disclosed by us ("Software Information, Upgrades and Customizations") confidential and to use it only for the purposes of using the Software and Services.

6.2. Exceptions Confidential Information does not include information that is: - Publicly available without breach of this agreement. - Known to you before disclosure by us. - Independently developed by you without use of our Confidential Information.

7. Limitation of Liability

7.1. Disclaimer The Software and Services are provided "as is" and "as available," without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

7.2. Limitation In no event shall bnserp.com be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, data, or business interruption, arising out of or in connection with the use of the Software or Services.

8. Termination

8.1. Termination by Us We may terminate your license to use the Software and Services if you breach any terms of this agreement. Upon termination, you must cease all use of the Software and erase all copies in your possession.

8.2. Termination by You You may terminate your subscription by providing written notice as specified in your subscription agreement. Upon termination, you will not be entitled to a refund of any fees paid.

9. Governing Law These terms shall be governed by and construed in accordance with the laws of your country, without regard to its conflict of law principles. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in your country.

10. Changes to Terms We reserve the right to modify these Terms and Conditions at any time. Changes will be effective when posted on our website or communicated to you. Your continued use of the Software and Services after such changes indicates your acceptance of the new terms.
